Wholesale Refund Policy.
Clause 9 of the Wholesale Terms of Sale incorporates this Policy by reference and makes it part of those Terms. Our retail Refund Policy continues to apply in full except where this document says otherwise — and where the two conflict on a wholesale order, this document controls.
Nothing here grants a wholesale account any right the retail policy withholds. Where this document is more restrictive than the retail policy, it is more restrictive deliberately: a wholesale buyer resupplies and resells, and that is a commercial risk it carries rather than one we underwrite. Terms defined in the Wholesale Terms have the same meaning here.
All sales are final.
We do not accept returns and we do not issue refunds — not in whole, not in part, not as an exchange, and not as credit issued in place of a refund — under any circumstance other than confirmed damage in transit. There are no exceptions for change of mind, incorrect selection, delayed shipping, address errors, a cancelled downstream order, a lost downstream customer, a change in your own research or supply plans, or a change in the law or regulatory guidance affecting what you may do with the material.
1. No Refunds, No Returns
An order is not refunded once placed. This includes the wrong SKU selected, the wrong quantity, the wrong pack count, and material no longer needed. Because research compounds cannot be re-verified for identity, purity, or chain-of-custody once they have left our facility, no returned Product can be resold and no return can be authorised. Product shipped back to us without a written replacement authorisation will be destroyed, no credit will issue, and we may charge you the cost of receiving and destroying it.
2. No Cancellation After Payment
A paid order cannot be cancelled on request. Fulfilment begins shortly after the research-use affirmation is recorded and stock is reserved against your order at that moment. Where an order is invoiced rather than paid by card, it is committed when the invoice is paid. Reserved stock withheld from other accounts is a real cost to us whether or not the carton has moved.
3. Inspection & Acceptance
You must inspect every shipment on arrival and count it against the packing list. Any claim of damage, shortage, or mis-pick must reach us within 7 days of delivery. That window is a condition of the claim, not a formality, and time is of the essence. Material not rejected in writing within 7 days of delivery is deemed accepted, and on acceptance you waive every claim arising from its condition or quantity as delivered.
The window runs from delivery to the ship-to address on the order. It does not run from the date you opened the carton, the date your own receiving team got to it, or the date the material reached a downstream destination.
4. Replacement — Damage in Transit Only
The single exception is damage in transit. If material arrives visibly damaged — broken vial, leaked contents, compromised outer packaging, contaminated stopper — we will ship a replacement of the same SKU and quantity at no cost. Each of the following is a condition precedent to any replacement:
- Email info@aminovitaresearch.com within 7 days of delivery. Claims after 7 days are declined.
- Include clear photographs of the damaged material and of the outer shipping packaging as received, before the packaging is discarded or altered.
- Include your order number. A purchase-order number alone is not sufficient to locate the order.
- Retain the damaged material and packaging until we confirm in writing that the claim is closed, and make it available for inspection or return at our request. Discarded material forfeits the claim.
Replacements are limited to the same SKU and quantity. In place of a replacement we do not issue partial refunds, credit, alternate products, price adjustments, or upgraded shipping. We determine whether a claim qualifies, acting reasonably and on the evidence listed above.
5. Short or Mis-picked Shipments
If a line is short or mis-picked, tell us within the same 7 days of delivery and we will ship the balance or the correct SKU at no cost. This is a fulfilment correction, not a refund, and it is the only remedy for a short or mis-picked line.
An order deliberately split or part-shipped because a line was low on stock is not a short shipment — the balance follows, and the order record shows what is outstanding.
6. Replacement Is the Sole and Exclusive Remedy
Replacement under Section 4, or correction under Section 5, is your sole and exclusive remedy for any Product that is damaged, short, mis-picked, or otherwise non-conforming, and is in place of every other remedy at law or in equity. This remains true even if that remedy is found to fail of its essential purpose.
You may not revoke acceptance, reject a later conforming shipment, or treat a claim on one order as a breach of the whole supply relationship.
7. Lost, Stolen, Refused, or Undeliverable
Title and risk of loss pass to you when the package is delivered to the carrier. A package the carrier marks delivered but which is reported not received is not refunded and not replaced. A package refused at the door, unclaimed, or returned as undeliverable is forfeit; we do not re-ship, refund, or credit it, and any carrier charge we incur on it is yours. Confirm the ship-to address before placing the order — the portal saves a default precisely so it is right every time.
8. Storage, Handling & Condition After Delivery
Once delivered, storage, handling, reconstitution, transport, and chain-of-custody are entirely yours. No claim will be accepted for material that has been stored outside the conditions stated for it, exposed to temperature excursion after delivery, opened, reconstituted, decanted, aliquoted, repackaged, relabelled, pooled with other material, or transferred out of your control.
We are not responsible for any deterioration, loss of potency, or contamination occurring after delivery, and the burden of showing that a defect existed at delivery is yours.
9. Batch Variation Is Not a Defect
We may fulfil any order from any batch meeting the published specification. Variation between batches that remains within the values on the applicable Certificate of Analysis is not a defect and is not grounds for replacement, rejection, refund, or a claim of non-conformity — including where your own downstream customer prefers or demands a particular batch, lot, or appearance. As clause 10 of the Wholesale Terms provides, the COA is the entire warranty.
10. No Store Credit Substitute
Clause 8 of the Wholesale Terms excludes store credit from wholesale orders entirely. It follows that credit is never available as a remedy here, including as a goodwill alternative to a replacement. Credit earned on any retail account cannot be applied to a wholesale order or to a wholesale balance.
11. Payment, Set-off & Invoice Disputes
You may not withhold, reduce, or set off any payment against a claim, a disputed amount, or any sum you say we owe you, whether under this order or any other. Invoices are payable in full on their stated terms, and a pending claim does not suspend that obligation.
Where an order was invoiced, raise any dispute with us in writing before raising it with your card issuer or bank. We will contest a chargeback that contradicts this Policy using the timestamped research-use affirmation, the order record, and carrier proof of delivery. A confirmed abusive chargeback is grounds for suspending or closing the Account, and you are responsible for the processor fees and reasonable costs of contesting it.
An overdue balance may delay or withhold shipment of a later order, as clause 5 of the Wholesale Terms provides. That is not a cancellation and does not refund the order it relates to.
12. Your Onward Supply Is Not Our Remedy
Where you have supplied material onward, your customer’s claim is yours to resolve under your own terms. We replace damage in transit to your ship-to address, within the window above, on evidence of the packaging as we shipped it. A downstream return, recall, rejection, or complaint does not create a right of return to us and is not evidence of a defect at delivery.
No third-party beneficiaries. This Policy is between us and the Account. No downstream customer, patient, end user, or other third party has any right under it. We do not take claims from, make payments to, correspond with, or accept documentation from your downstream customers, and you may not assign any claim against us, or purport to pass any right under this Policy down your supply chain, without our prior written consent.
13. Orders We Decline Before Shipment
We may decline or cancel an order before shipment at our discretion — where the ordering channel is not one the Account is approved for, where research-use intent appears doubtful, where the Account cannot be verified, or where the destination restricts the material. In that narrow case the original payment is returned. This is the only circumstance in which we issue a refund. Declining an order is not a breach and creates no liability beyond returning what was paid.
A pre-submission price change is not this: if the price of any line moves between the moment it entered your cart and the moment you submit, the order is refused before it exists rather than charged at a figure you were not shown. Nothing is taken and nothing is reserved, so there is nothing to refund.
14. Limitation of Liability
Clause 12 of the Wholesale Terms and retail clauses 12 and 13 apply in full. For the avoidance of doubt, and to the maximum extent permitted by law:
- Our aggregate liability arising out of or relating to any Product, order, or this Policy will not exceed the amount you actually paid for the specific line at issue.
- We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages of any kind. Without limiting that, we are not liable for lost profits, lost revenue, lost or spoiled downstream sales, loss of research data or time, cost of substitute goods, recall or withdrawal costs, regulatory penalties, reputational harm, business interruption, or any claim brought against you by a third party.
- These limits apply however the claim is framed — contract, warranty, strict liability, negligence, or otherwise — and apply even if we were advised that such damages were possible.
15. Time Limit for Bringing a Claim
Any action arising out of a Product or an order must be commenced within one year after the Product was delivered, or it is permanently barred. This is in addition to, and does not extend, the 7-day claim window in Section 3.
16. Delays Beyond Our Control
We are not liable for any delay or failure to perform caused by anything beyond our reasonable control — carrier disruption, supplier or manufacturing failure, raw-material shortage, customs action, labour action, utility or platform outage, severe weather, natural disaster, or governmental or regulatory action. Delay is never grounds for a refund, a discount, or a cancellation, and no delivery date we quote or estimate is a guarantee or a condition of the order.
17. Our Records Control
In any dispute, our order record, the timestamped research-use affirmation, our fulfilment and batch records, and the carrier’s tracking and delivery data are the evidence of what was ordered, affirmed, shipped, and delivered, and control absent clear proof of error. A purchase order, vendor-portal entry, or internal receiving record of yours does not displace them.
18. Relationship to the Wholesale Terms
This Policy forms part of the Wholesale Terms of Sale. Where it conflicts with the retail Refund Policy on a wholesale order, this document controls; where it conflicts with the Wholesale Terms, the more restrictive provision controls. Nothing here waives any limitation of liability, indemnity, or governing-law provision of either document, and no statement by any representative, and no term printed on your purchase order or vendor form, varies this Policy unless we agree to it in writing.
If any provision of this Policy is held unenforceable, it is limited or severed and the rest remains in full force. Our failure to enforce a provision on one occasion is not a waiver of it. Wyoming law governs, and disputes are resolved exclusively in the Wyoming courts, as retail clause 14 provides.
19. Contact
All replacement and shortage claims must go to info@aminovitaresearch.com. Claims raised through social media, a vendor portal, a shipping carrier, or verbally are not tracked and do not preserve the 7-day window.
